1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client" or "User") and Garuda Forge Company Limited ("Garuda Forge", "we", "us", or "our"). These Terms apply to your use of this website and to any consulting engagement governed by a separate Service Agreement that references these Terms.
We may revise these Terms from time to time. The current version will always be available on this page. Your continued use of our website or services after a revision constitutes acceptance of the updated Terms.
2. About Garuda Forge
Garuda Forge Company Limited is a business consulting firm registered and operating in Thailand. Our principal office is at 203 Wireless Road, Lumpini, Bangkok 10330. We provide advisory services in the areas of regulatory navigation, talent strategy, and business continuity.
3. Website Use
You may use this website for lawful purposes only. In using this website, you agree not to:
- Attempt to gain unauthorized access to any part of the website, its server, or any related database
- Transmit any material that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable

4. Consulting Services
Consulting services are provided subject to a separate written Service Agreement executed between Garuda Forge and the Client. These Terms apply alongside and supplement the Service Agreement. In the event of a conflict, the Service Agreement shall take precedence.
Our services are advisory in nature. While we provide well-researched, carefully considered guidance, outcomes depend on numerous factors outside our control, including but not limited to regulatory changes, market conditions, and the Client's implementation of recommendations. Garuda Forge does not make representations about specific results.
Service timelines indicated on our website (such as "4 weeks" or "8 weeks") are indicative. Actual timelines are agreed in the Service Agreement and may vary depending on project complexity and Client responsiveness.
5. Fees and Payment
Fees for consulting services are as stated in the applicable Service Agreement. Prices displayed on this website (denominated in Thai Baht, ฿) are indicative and may be adjusted for specific engagements.
Unless otherwise agreed in writing:
- A deposit of 50% of the total engagement fee is due upon signing the Service Agreement
- The remaining balance is due upon delivery of the final deliverables
- Payment is due within 14 calendar days of invoice date
- Late payments may attract interest at the rate specified in the Service Agreement or as permitted under Thai law
All fees are stated exclusive of value-added tax (VAT) where applicable under Thai tax law.
6. Intellectual Property
Website content: All content on this website, including text, graphics, logos, and design elements, is owned by or licensed to Garuda Forge and is protected under Thai and international intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our prior written consent.
Deliverables: Upon receipt of full payment, Garuda Forge assigns to the Client ownership of the specific deliverables produced under the Service Agreement (e.g., reports, roadmaps, plans). However, Garuda Forge retains ownership of all proprietary methodologies, frameworks, tools, and background knowledge used in producing those deliverables.
Garuda Forge reserves the right to reference the Client engagement (without disclosing confidential details) for internal quality improvement and portfolio purposes, unless the Client has specifically requested otherwise in writing.
7. Confidentiality
Both parties agree to treat as confidential any non-public information disclosed by the other party in connection with a consulting engagement. Garuda Forge will not disclose Client confidential information to third parties without the Client's prior written consent, except as required by law or regulatory authority.
Specific confidentiality obligations for each engagement are detailed in the Service Agreement. In the absence of a separate Non-Disclosure Agreement, these Terms apply as the default confidentiality framework.
8. Limitation of Liability
To the fullest extent permitted by applicable Thai law, Garuda Forge's total liability to the Client for any claim arising out of or in connection with a consulting engagement shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim.
Garuda Forge shall not be liable for:
- Indirect, incidental, or consequential losses
- Loss of profit, revenue, data, goodwill, or business opportunity
- Losses arising from the Client's implementation of recommendations in ways that deviate from what was advised
- Losses resulting from events outside Garuda Forge's reasonable control (force majeure)
Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct.
9. Warranties and Representations
Garuda Forge warrants that:
- Services will be performed with reasonable skill and care by qualified professionals
- We have the right to provide the services described
- We will comply with applicable Thai law in delivering our services
Except as expressly stated here, all other warranties, express or implied, are excluded to the extent permitted by law. In particular, we do not warrant that our advisory services will achieve any specific regulatory, commercial, or operational outcome.
10. Termination
Either party may terminate a consulting engagement by providing written notice as specified in the Service Agreement. In the absence of specific terms:
- The Client may terminate with 14 days' written notice, subject to payment for all work completed to the date of termination
- Garuda Forge may terminate if the Client materially breaches these Terms or the Service Agreement and fails to remedy the breach within 10 business days of written notice
Termination does not affect any rights or obligations accrued prior to the termination date. Provisions regarding confidentiality, intellectual property, payment, and limitation of liability survive termination.
11. Governing Law and Dispute Resolution
These Terms and any consulting engagements governed by them are subject to the laws of the Kingdom of Thailand. Any dispute arising out of or in connection with these Terms shall be referred first to good-faith negotiation between the parties. If not resolved within 30 days, disputes shall be submitted to the jurisdiction of the competent courts in Bangkok, Thailand.
